AqNova is built on a foundation of transparency — to buyers, vendors, investors, and regulators. The Platform Fee Schedule reflects AqNova's commitment to three core principles: (1) complete fee visibility before any financial commitment is made; (2) fee structures that align AqNova's success with vendor success (we earn more when you earn more); and (3) equitable, mission-conscious pricing that lowers barriers to global trade for vendors in emerging markets while sustaining the Platform's operational and growth infrastructure.
AqNova's monetization model is multi-layered, targeting a 20%+ effective blended take rate across GMV, SaaS subscriptions, retail media, logistics, and financial services. This document provides complete transparency on all fee components relevant to Vendors. The revenue architecture is designed to be defensible, scalable, and globally compliant — with fee structures that survive regulatory scrutiny in all 25+ jurisdictions where AqNova operates.
| AqNova Fee Structure — Five Core Principles 1. NO HIDDEN FEES: Every fee applicable to a Vendor's Platform participation is disclosed in this document. There are no charges not listed here. 2. EARN-WHEN-YOU-EARN: Transaction commissions are charged only on completed, non-refunded sales. If you do not sell, you do not pay commission. 3. EQUITABLE REGIONAL PRICING: AqNova offers reduced subscription pricing for African and Latin American markets, recognizing structural differences in currency strength, capital access, and SME liquidity. 4. ADVANCE NOTICE OF CHANGES: Any change to fees requires 30 days' advance written notice to affected Vendors (60 days for EU/UK Vendors per P2B Regulation). 5. INVESTOR TRANSPARENCY: Fee structures and revenue projections are made available to investors as part of AqNova's Commission & Enterprise Value Framework. Blended take rate target: 20%+. |

Billing is processed on the first day of each billing cycle. For quarterly and annual plans, the full prepaid amount is charged at the start of the period. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. Cancellation instructions are available in account settings.
Eligibility: This pricing applies exclusively to businesses that are legally registered and primarily operating within African countries. Documentation verification will be required before activation. AqNova reserves the right to verify eligibility based on legal registration and operational headquarters.

AqNova's transaction commission structure is tiered across eight product segments, reflecting the distinct economics — average order value (AOV), vendor margin profile, purchase frequency, and enterprise value contribution — of each category. Commissions are applied to Gross Merchandise Value (GMV) on completed, non-refunded transactions. Higher-ticket, lower-frequency categories carry lower percentage rates; higher-margin, higher-frequency categories support higher rates. All rates apply irrespective of seller plan — the plan determines the range of rates available.

The following rules govern commission calculation across all tiers:
Commission base: GMV = Product Sale Price + Vendor-Charged Shipping Fee. Taxes collected and remitted by AqNova as marketplace facilitator are excluded from GMV.
Refunds: Commission is not charged on refunded transactions. Where a commission has already been deducted from a payout and the transaction is subsequently refunded, AqNova credits the commission amount to the Vendor's next payout.
Blended rate: The blended take rate shown in the table reflects the base commission plus the average uplift from placement fees and subscription bonuses across the vendor cohort. Individual Vendor effective rates may differ based on plan, category, and optional feature usage.
Minimum commission: There is no minimum commission per transaction. Commission is applied as a percentage of each individual transaction's GMV.
Digital services / coaching (T4): Near-100% margin digital wellness services carry a 25%–35% commission — the highest in the platform — reflecting the near-zero fulfillment cost and SaaS-equivalent margin profile.
Clean Mobility / EVs (T8): EV and e-bike transactions carry the lowest percentage commissions (3%–7%) due to high AOVs; however, lead generation fees ($50–$300 per qualified buyer referral) and financing rev-share (1%–2%) add significant absolute revenue per transaction.

This table is used for vendor onboarding, contract reference, and product category classification. Vendors who are uncertain about their product's applicable tier should contact listings@aqnova.co.

The following additional fee categories apply to optional value-added services available to Premium Seller Plan subscribers. These fees are in addition to subscription fees and transaction commissions, and are charged only when a Vendor elects to use the relevant service.

Payment processing fees are charged by AqNova's third-party Payment Processor partners and are passed through to Vendors at cost. These fees are deducted from Vendor payouts alongside the applicable transaction commission. AqNova does not mark up payment processing fees.

Exact payment processing fees applicable to a specific transaction are displayed in the Vendor dashboard at the time of payout. Processing fees are not included in the commission rate quoted in this Fee Schedule. The effective total fee on any transaction is: Transaction Commission + Payment Processing Fee.
AqNova supports transactions in multiple currencies and Vendor payouts in the Vendor's designated settlement currency. The following currency-related fees and disclosures apply:
FX conversion fee: Where currency conversion is required between the transaction currency and the Vendor's settlement currency, AqNova's Payment Processor applies the prevailing exchange rate at the time of settlement, which may include a conversion margin of 0.5%–2.5%. The applicable margin is displayed in the Vendor's payout statement.
International wire transfer fees: For international bank wire payouts, correspondent bank fees are deducted from the payout amount. Typical range: USD $10–$35 per wire transfer. Exact fees depend on the receiving bank and jurisdiction.
Local payout methods: Where Vendors elect local payout methods (mobile money, regional bank transfer), applicable local transfer fees apply and are disclosed in the payout settings.
Currency risk: AqNova is not liable for exchange rate fluctuations between order confirmation and payout settlement. The exchange rate applicable to a payout is fixed at the time of settlement, not at the time of the original transaction.
AqNova collects and remits applicable sales taxes, VAT, and GST as a marketplace facilitator or deemed supplier in the following jurisdictions, which means Vendor payouts for qualifying transactions reflect the post-tax net amount. In all other jurisdictions, Vendors bear sole responsibility for their own tax obligations.

Vendors are responsible for their own income tax, corporate tax, and any taxes not assumed by AqNova as marketplace facilitator. AqNova issues applicable tax information forms (IRS Form 1099-K, T4A, DAC7, HMRC DPR, etc.) as required by law. Full details of AqNova's tax compliance obligations are set out in Section 2.10 of the Platform Terms & Conditions and in the country-specific legal notices (Sections 9.1–9.6).
Vendors enrolled in the AqNova Founding Vendor Program (FVP) benefit from the following fee modifications during their 12-month FVP Term. Full FVP terms are set out in Section 2 of the Platform Governance Documents (Founding Vendor Program Terms).

The financial value of the FVP commission waiver is illustrated in Section 8.16 (Earnings Estimator). For a Canopy-tier Vendor generating USD $500,000 in Year 1 GMV, the 0% commission benefit represents approximately USD $80,000 in saved platform fees compared to standard Premium rates.
AqNova reserves the right to modify the fee schedule at any time, subject to the advance notice requirements set out below. All fee modifications are governed by the Platform Terms & Conditions (Section 2.2.2) and the Seller Agreement (Section 2.2.1).
Standard advance notice: 30 days' written notice to all affected Vendors via email and in-platform notification before any fee increase or material fee change takes effect.
EU/UK Vendors — P2B Regulation: 60 days' advance notice for any modification to fees applicable to EU and UK business vendors, consistent with the requirements of EU Platform-to-Business Regulation (EU 2019/1150).
Emergency regulatory changes: Where a fee change is required immediately by applicable law or regulatory order (e.g., a change in a marketplace facilitator tax rate), the change takes effect immediately upon the regulatory mandate. AqNova provides notice within 5 Business Days.
Minor changes: Changes to payment processing fee pass-through rates driven by third-party processor pricing changes do not require advance notice but are reflected in updated payout statements. AqNova provides notification via in-platform notification.
Fee reductions: Fee reductions (including promotional discounts) may be applied without advance notice and take effect on the stated promotional start date.
Vendor right to terminate: Vendors who do not accept a material fee increase may terminate their account without early termination penalty by providing written notice to vendors@aqnova.co before the effective date of the increase.
The following worked examples illustrate net earnings for vendors at different revenue levels, comparing the two seller plans and the FVP commission-free period. All examples assume a 15% commission rate (PAYG midpoint) and a 8% commission rate (Premium midpoint), with payment processing at 2.5% across all scenarios.
