This South America Legal Notices document ("South America Notices") contains all mandatory regulatory disclosures, compliance statements, and legal notices required of AqNova Marketplace, operated by Arivon Holding Corporation ("AqNova," "we," "us," "our"), in connection with its commercial operations across South American markets. AqNova currently operates in or serves users in Brazil, Argentina, Colombia, and Chile as primary South American markets.
South America presents a diverse legal landscape shaped by civil law traditions, significant consumer protection legislation, rapidly modernizing data protection frameworks, and complex digital economy tax regimes. AqNova's compliance framework across South American markets reflects both the shared Latin American legal heritage and the distinct national requirements of each jurisdiction.
All key consumer notices in this document are provided in English and in the applicable national language — Portuguese (PT) for Brazil and Spanish (ES) for Argentina, Colombia, and Chile. These notices supplement the AqNova Platform Terms & Conditions (Section 2). Mandatory South American law prevails over any conflicting Platform terms.

Across all South American markets in which AqNova operates, the following pan-regional standards apply to AqNova's platform operations:
Language accessibility: All key consumer communications, product information, and contractual terms are provided in the official national language — Portuguese for Brazilian users; Spanish for Argentine, Colombian, and Chilean users. Language rights cannot be waived by contract.
Consumer information in local currency: AqNova displays prices in local currencies — Brazilian Real (BRL/R$), Argentine Peso (ARS/$), Colombian Peso (COP/$), and Chilean Peso (CLP/$) — where technically feasible, providing transparent pricing for South American consumers.
Electronic contracting standards: AqNova's Platform contracts with South American consumers and vendors are formed by electronic means and are legally valid and enforceable under applicable national e-commerce legislation in each country.
Digital signature compliance: AqNova's checkout confirmation process constitutes a valid electronic acceptance under the e-commerce and digital signature laws of each South American jurisdiction.
Online dispute resolution: AqNova supports access to national consumer protection agencies and online dispute resolution mechanisms in each South American jurisdiction, as detailed in Section 9.5.12.

The Consumer Defense Code (Codigo de Defesa do Consumidor, CDC — Lei 8.078/1990) is the cornerstone of Brazilian consumer law, constitutionally mandated by Article 5(XXXII) and Article 170(V) of the 1988 Federal Constitution. The CDC applies to all consumer-supplier relationships in Brazil, including all transactions conducted through AqNova's Platform with Brazilian consumers. CDC rights are matters of public order and cannot be waived by contract.

Decree 7.962/2013, known as the E-Commerce Decree (Decreto do Comercio Eletronico), regulates e-commerce in Brazil by operationalizing the CDC's provisions for online consumer relationships. It establishes specific obligations for online suppliers (including marketplace platforms) that AqNova must fulfill:
Mandatory information disclosure (Art. 2 Decree 7.962/2013): AqNova must display on the Platform: its own name; CNPJ (Brazilian company registration number) or CPF (where applicable); full physical address; telephone number; email address; and, for Vendors, equivalent Vendor identification information on each product listing page.
Facilitating the right of withdrawal (Art. 5 Decree 7.962/2013): AqNova must provide conspicuous display of the right of withdrawal in summary form on the checkout page and in the Order Confirmation. The withdrawal mechanism must be provided in the same channel as the original purchase (i.e., available online through the Platform).
Order confirmation (Art. 4, IV Decree 7.962/2013): AqNova must send the consumer an immediate electronic confirmation of each order placed, including all material terms of the transaction.
Assistance (Art. 4, VI Decree 7.962/2013): AqNova must provide adequate pre- and post-sale assistance to Brazilian consumers. AqNova's Buyer Protection Program and Help Centre (aqnova.co/br/help) fulfill this obligation.
Security (Art. 4, VII Decree 7.962/2013): AqNova implements technical security measures to protect consumers' personal and financial data, including encryption, secure payment processing, and fraud detection systems consistent with applicable LGPD, BACEN, and industry standards.
Consumidor.gov.br participation (Art. 4, §3 Decree 7.962/2013): AqNova participates in the federal consumer mediation platform consumidor.gov.br and responds to registered complaints within the platform's prescribed timeframes (typically 10 days). The platform is operated by the Secretaria Nacional do Consumidor (SENACON).
The Lei Geral de Protecao de Dados Pessoais (LGPD — Law 13.709/2018, as amended by Law 13.853/2019) is Brazil's comprehensive data protection law, inspired by the EU GDPR and administered by the Autoridade Nacional de Protecao de Dados (ANPD). The LGPD entered into force in September 2020 for substantive provisions, with administrative sanctions applicable from August 2021.

The Marco Civil da Internet (Law 12.965/2014), Brazil's "Internet Constitution," establishes the rights and responsibilities of internet users and providers in Brazil. Key provisions applicable to AqNova include:
Net neutrality (Art. 9): AqNova does not discriminate between users or data packets based on content, origin, destination, service, terminal, or application.
Data protection (Arts. 7, X and 11): Personal data of Brazilian users collected or processed in Brazil must comply with Brazilian law, including the LGPD. AqNova may not provide personal data of Brazilian users to foreign governments or third parties without proper legal authority or user consent.
Platform liability (Art. 19): AqNova is not liable for third-party content (Vendor listings) unless it fails to comply with a specific judicial order to remove the content. AqNova has established a content removal request process at abuse@aqnova.co for Brazilian judicial orders.
User rights (Art. 7): Brazilian internet users have rights to privacy, freedom of expression, and inviolability of private communications, electronic correspondence, and personal data. AqNova's data practices respect these fundamental rights.
Brazil operates one of the world's most complex tax systems. AqNova's Brazilian tax compliance obligations include:
ICMS (Imposto sobre Circulacao de Mercadorias e Servicos): State VAT on goods and services. ICMS rates vary by state (typically 12%–20%). For e-commerce sales to Brazilian consumers, ICMS is collected and remitted in accordance with ICMS Agreement 87/2002 (Convenio ICMS 87/2002) and subsequent amendments governing interstate B2C transactions. AqNova's payment processor partners manage ICMS compliance for applicable transactions.
ISS (Imposto Sobre Servicos): Municipal tax on services (typically 2%–5%). Applicable to platform subscription fees and digital services provided to Brazilian users. AqNova remits ISS to the applicable municipality.
PIS/COFINS: Federal social contributions levied on gross revenue. Applicable to AqNova's Brazilian-source revenue.
Nota Fiscal Eletronica (NF-e): Brazilian law requires the issuance of electronic fiscal notes (Nota Fiscal Eletronica — NF-e or Nota Fiscal de Consumidor Eletronica — NFC-e) for all consumer transactions. AqNova requires Vendors selling to Brazilian consumers to issue valid NF-e or NFC-e for all transactions processed through the Platform. AqNova provides tooling to support Vendor fiscal note issuance where technically feasible.
CNPJ registration: AqNova is registered or is pursuing registration with the Receita Federal do Brasil (Brazilian Federal Revenue Service) and holds or will hold a valid CNPJ (Cadastro Nacional da Pessoa Juridica) for its Brazilian operations. The Banco Central do Brasil (BACEN) regulates Brazil's national payment system under Law 12.865/2013. AqNova's payment acceptance in Brazil includes:
PIX: AqNova accepts PIX — Brazil's instant payment system operated by BACEN — for Brazilian consumer transactions. PIX is available 24/7, with settlement in seconds. Refunds via PIX are processed within 1–2 Business Days of refund authorization.
Credit cards (cartao de credito): AqNova accepts all major Brazilian credit cards including Visa, Mastercard, Elo, Hipercard, and American Express through its PCI-DSS compliant payment processor partners.
Boleto bancario: AqNova accepts Boleto Bancario for Brazilian consumers who prefer payment by bank slip. Boleto payments clear within 1–3 Business Days.
Carteiras digitais: AqNova accepts major Brazilian digital wallets including PicPay, Mercado Pago, and others through its payment processor.

Law 24.240 on Consumer Defense (Ley de Defensa del Consumidor), enacted in 1993 and substantially amended by Laws 26.361 (2008) and 27.250 (2016), is Argentina's principal consumer protection statute. It is supplemented by the National Decree 1798/1994 and the Civil and Commercial Code of the Argentine Nation (Law 26.994/2014, Arts. 1092–1122). Argentine consumer protection provisions are of public order and cannot be waived.
